Sugarlist Terms of Service

Welcome to sugarlist.com ("Sugarlist", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the Sugarlist website, mobile application, and associated services (collectively, the "Service"). PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

• By creating an account, purchasing Sugar Tokens ("Tokens"), or otherwise using the Service, you affirm that you have read, understood, and accepted these Terms.
• We may update these Terms from time to time. The "Last Updated" date above indicates when changes were last made. Continued use of the Service after any modification constitutes acceptance of the revised Terms.

2. Eligibility

• You must be at least 18 years old and capable of forming a binding contract to use the Service.
• You represent and warrant that any registration information you submit is accurate and complete.

3. Account Registration & Security

• To access certain features-such as creating wishlists, sending gifts, receiving tips, or participating in affiliate programs-you must create an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must promptly notify Sugarlist of any unauthorized use or suspected breach of security of your account.

4. Token System & Financial Transactions

4.1 Token Purchase

• Users purchase Tokens via Stripe, our third-party payment processor.
• A 2% service fee (capped at USD $5) is added to each token purchase.
• Tokens are a limited-purpose digital item and have no intrinsic cash value outside the Service.

4.2 Gifting & Tipping

• Tokens may be used to purchase gifts for other users or to send direct tips.
• When a gift or tip is made, Sugarlist retains a 10% platform fee, and the receiving user retains 80% of the token value.
• If the gift occurs through an Affiliate Link (Section 5), 2% is automatically paid to the affiliate link holder and Sugarlist retains the remaining 8%.

4.3 Withdrawals

• Receiving users may convert their available Token balance to cash and withdraw to a verified bank account.
• Withdrawals are processed within 3 U.S. business days, subject to compliance review.
• Sugarlist may delay or deny a withdrawal if we suspect fraud, money laundering, or violation of these Terms.

4.4 Chargebacks & Fraud Liability

• If a token purchase is reversed, disputed, or charged back by the sender (a "Chargeback"), Sugarlist will deduct the disputed amount from the receiving user's Token balance.
• If the balance is insufficient, the receiving user is liable for the deficit and must reimburse Sugarlist within 10 calendar days of notice.
• Sugarlist may offset any amounts you owe against future withdrawals or other balances.
• Repeated or excessive Chargebacks may result in account suspension or termination.

4.5 No Refunds

• All Token purchases are final. Sugarlist does not offer refunds except as required by law.

5. Affiliate Links Program

• Registered users may generate unique affiliate links to share Sugarlist with others.
• When a new user signs up through an affiliate link and makes qualifying transactions, 2% of each qualifying sale is automatically credited to the affiliate's Token balance.
• Fraudulent, self-referral, or manipulative behavior will result in forfeiture of affiliate earnings, denial of withdrawals, and potential termination.
• Sugarlist reserves the right to audit affiliate activity for compliance at any time.

6. Fees & Revenue Sharing

• Token purchase service fee: 2% (max $5) paid by purchaser.
• Platform fee on gifts/tips: 10% (or 8% where a 2% affiliate payout applies).
• Remaining 80% (net of fees) credited to the receiving user.
• Fees are subject to change with thirty (30) days' notice.

7. User Content

• "User Content" includes wishlists, images, text, profile information, and messages you post.
• You retain ownership of User Content but grant Sugarlist a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute it solely for operating and promoting the Service.
• Your User Content must comply with applicable laws and must not contain: nudity or sexually explicit content; harassment, hate speech, or discriminatory content; illegal or infringing material.
• We employ automated and human moderation but cannot guarantee immediate removal of prohibited content.

8. Intellectual Property

• The Service (excluding User Content) is owned by Sugarlist or its licensors and protected by law.
• You may not copy, modify, distribute, or create derivative works without prior written consent.

9. Prohibited Conduct

• Violate any applicable law or regulation;
• Engage in fraud, money laundering, or financing of terrorism;
• Interfere with the security or functionality of the Service;
• Attempt to circumvent moderation or security features;
• Impersonate any person or entity.

10. Suspension & Termination

• Sugarlist may suspend or terminate your account for violations, illegal activity, or suspicious conduct.
• Upon termination, any outstanding Token balance may be withheld to offset losses, chargebacks, or fees.

11. Disclaimers

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
• Sugarlist does not guarantee that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Sugarlist WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify and hold harmless Sugarlist, its affiliates, and their respective officers, directors, and employees from any claims, losses, or expenses (including attorneys' fees) arising out of: (a) your use of the Service; (b) any Chargeback or fraud related to transactions you receive; or (c) your breach of these Terms or violation of law.

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles.
• Any dispute shall be resolved exclusively in the state or federal courts located in Delaware, USA.

15. Miscellaneous

• Entire Agreement - These Terms constitute the entire agreement between you and Sugarlist regarding the Service.
• Severability - If any provision is invalid, the remaining provisions remain in full force.
• Waiver - Failure to enforce any provision is not a waiver of future enforcement.
